Terms of Use

These Terms of Use (these “Terms”) govern your use of the Stasis Home website, the Stasis Home app, the Stasis Score, and the subscription and other services we offer through them (together, the “Services”). They are a legally binding agreement between you and Stasis Home, Inc. (“Company,” “we,” “us”). By accessing or using the Services you accept these Terms. You must be at least 18 years old to use the Services. If you do not agree, do not use the Services.

The paid in-home audit and any installs are governed by a separate Services Agreement you accept when you book, and the mail-in Home Kit is governed by separate Home Kit Terms. Those documents, not these Terms, govern those purchases.

Please read the “Dispute resolution” section carefully. It includes an agreement to arbitrate that requires, with limited exceptions, that disputes be resolved by binding individual arbitration, and it contains a class-action and jury-trial waiver. Unless you opt out within 30 days, you waive the right to a jury trial and the right to participate in a class action.

Accounts

To use certain features you must create an account and provide accurate information. You are responsible for keeping your login confidential and for all activity under your account, and you agree to notify us promptly of any unauthorized use. You may delete your account at any time, and we may suspend or terminate it as described below.

Access to the Services

Subject to these Terms, we grant you a limited, revocable, non-exclusive, non-transferable license to use the Services for your own personal, non-commercial purposes. You agree not to: license, sell, or commercially exploit the Services or their content; copy, modify, reverse engineer, or create derivative works of any part of them; access them to build a competing product; scrape, harvest, or run automated or bulk address lookups; or interfere with or probe their security. We may modify, suspend, or discontinue the Services at any time, and we have no obligation to provide support or maintenance.

The Stasis Score and our content are information, not professional advice

• Your Stasis Score and the information we provide are for general information only. They draw on public and third-party data and on the answers you give, and they describe your address and the area around it, not a measurement of your specific home.
• That data can be incomplete, delayed, or wrong, and conditions inside a home can differ. We do not guarantee the Score or any information is accurate or complete for your home.
• Nothing we provide is medical, environmental-engineering, or legal advice, and it is not a diagnosis, a prescription, or a substitute for professional testing or advice. Any recommendation we make is a general suggestion, not a diagnosis, and we do not guarantee any outcome.
• Do not rely on the Score or our information for a decision that needs a professional assessment. The way to know what is actually in your home is to test it.

We do not make claims about other companies

The information we provide describes conditions and estimates drawn from public sources and from any samples you have taken. It is not a statement that your water utility, your home’s builder, any product maker, or anyone else did anything wrong, was negligent, or broke any law. Where we compare results to a health-based level that is stricter than the legal limit, that reflects our own methodology and a higher standard you may choose for your own home; a utility that meets the legal limit is complying with the law. Our interpretations are our informed opinion, not statements of fact about anyone else’s conduct. We are independent and are not affiliated with, endorsed by, or speaking for any utility, builder, manufacturer, or government agency.

Subscriptions, billing, and cancellation

• The Stasis Home subscription is billed in advance on a recurring basis and automatically renews for successive periods until you cancel. By subscribing, you authorize us (through our payment provider) to charge your payment method for each renewal at the then-current price.
• Before you subscribe, we present the price, the billing frequency, and the fact that it renews automatically, and you affirmatively agree to those terms. We send you an acknowledgment with cancellation instructions.
• You can cancel at any time online or in the app, in a few clicks. Cancellation takes effect at the end of the current billing period; we do not refund the current period.
• Free or introductory offers (for example, a free period that comes with a kit or an audit) end on the date we disclose. After that, the subscription renews at the standard price unless you cancel before the free period ends. We disclose the post-offer price and when billing starts.
• We may change subscription prices with advance notice; changes apply to the next billing period after the notice.

Purchases and payments

• Prices, products, and availability may change.
• Payments are handled by our third-party payment provider; you agree to provide accurate billing information and may be subject to the provider’s terms. You are responsible for applicable taxes.
• The terms for the paid in-home audit and the Home Kit, including their cancellation and refund terms, are in their own documents.

How we make money

Some products we recommend are sold by third parties, and we may earn a commission if you buy through our links. This never changes what we recommend; our recommendations are based on the merits. Where we are paid to endorse something, we disclose that connection.

Our intellectual property

The Services, the Stasis Score methodology, the brand, and all content we provide are owned by us or our suppliers and are protected by intellectual-property laws. These Terms grant you only the limited access rights above and no other rights. If you send us feedback or suggestions, you assign them to us and we may use them freely; we will treat feedback as non-confidential.

Indemnification

You agree to indemnify and hold harmless Stasis Home and its officers, employees, and agents, including reasonable attorneys’ fees, from any claim arising out of your use of the Services, your violation of these Terms, or your violation of applicable law. We may assume the defense of any such matter, and you agree to cooperate and not to settle it without our consent.

Third-party links, other users, and release

The Services may contain links to or ads for third parties that we do not control and are not responsible for; use them at your own risk and subject to their terms. Your interactions with other users are solely between you and them. You release Stasis Home from any dispute, claim, or damages of every kind arising out of or relating to the Services, including interactions with other users or third-party links and ads. If you are a California resident, you waive California Civil Code Section 1542, which says a general release does not extend to claims that the releasing party does not know or suspect to exist at the time of the release and which, if known, would have materially affected the settlement.

Disclaimers

The Services are provided on an “as is” and “as available” basis, and we and our suppliers disclaim all warranties of any kind, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, title, and non-infringement, and any warranty that the Services will be uninterrupted, timely, secure, accurate, or error-free, to the fullest extent the law allows. Some jurisdictions do not allow the exclusion of implied warranties, so some of the above may not apply to you.

Limitation of liability

To the fullest extent permitted by law, we and our suppliers will not be liable for any lost profits, lost data, or any indirect, consequential, exemplary, incidental, special, or punitive damages arising from or relating to these Terms or your use of, or inability to use, the Services. To the fullest extent permitted by law, our total liability for any claim arising from or relating to these Terms will not exceed the greater of the amount you paid us for the Services in the 12 months before the claim or one hundred US dollars. Nothing in these Terms limits liability that the law does not allow us to limit, including liability for our gross negligence, willful misconduct, fraud, or for bodily injury caused by our negligence. Some jurisdictions do not allow these limitations, so some of the above may not apply to you.

Term and termination

These Terms remain in effect while you use the Services. We may suspend or terminate your access at any time, including for any violation of these Terms, and we will not be liable for doing so. The sections that by their nature should survive termination will survive.

Dispute resolution

Please read this section carefully; it requires you to arbitrate disputes with us and limits how you can seek relief. It applies to any dispute between you and Stasis Home and its affiliates, and their officers, directors, employees, and agents (the “Company Parties”), relating in any way to the Services or these Terms.

Exceptions. Either party may bring an individual claim in small claims court if it qualifies, and either party may seek relief in court for infringement or misuse of intellectual property. Nothing here prevents you from reporting concerns to a government agency.

Informal resolution first. Before starting an arbitration or a small-claims case, the parties will try to resolve the dispute informally. The party with the dispute must send a written notice describing it, with their contact information, to legal@stasishome.com or to Stasis Home, Inc., 131 Continental Drive, Suite 305, Newark, Delaware 19713. Within 45 days of that notice, the parties will meet by phone or video, individually, to try to resolve it in good faith. This conference is a precondition to starting arbitration, and the statute of limitations and any filing-fee deadlines are paused while it is underway.

Arbitration. If the dispute is not resolved within 60 days of the notice, either party may require that it be resolved by binding individual arbitration administered by JAMS under its applicable rules (Streamlined Rules for claims under $250,000; Comprehensive Rules otherwise). The Federal Arbitration Act governs this agreement. The arbitration will take place in the county where you reside, unless the batch process below applies. The arbitrator decides all issues except as noted below, may award the same individual relief a court could, and issues a written decision; the award is final and may be entered in any court of competent jurisdiction.

Jury-trial waiver. Except as stated in the exceptions above, you and the Company Parties waive any right to sue in court and to a trial before a judge or jury.

Class-action waiver.You and we agree to bring claims only on an individual basis and not as a plaintiff or class member in any class, collective, representative, or mass action, and the arbitrator may award relief only in favor of the individual party and only to the extent needed for that party’s individual claim. If a court finds this waiver unenforceable as to a particular claim or request for relief, that claim or request will be severed and may be litigated in the state or federal courts located in Orange County, California, while all other disputes remain in arbitration or small claims court.

Batch arbitration. If 100 or more similar arbitration demands are filed against us by or with the help of the same firm or organization within a 30-day period, JAMS will administer them in batches of up to 100, with one arbitrator and one set of fees per batch, to make resolution more efficient. This does not authorize any class or consolidated proceeding except as expressly stated.

30-day right to opt out. You may opt out of this arbitration agreement by sending written notice, within 30 days of first becoming subject to it, to legal@stasishome.com or to Stasis Home, Inc., 131 Continental Drive, Suite 305, Newark, Delaware 19713, stating that you want to opt out and including your name and address. If you opt out, the rest of these Terms still apply.

Fees and survival.Each party bears its own attorneys’ fees and costs unless the arbitrator or a court finds a claim frivolous or brought for an improper purpose, or unless the law provides otherwise. This arbitration agreement survives termination of these Terms. Any dispute must be filed within the applicable statute of limitations or it is barred.

General

Changes. We may revise these Terms from time to time; if we make a material change we will notify you by email or by posting notice on the Services. Your continued use after notice means you accept the change.

Governing law. These Terms are governed by the laws of the State of California, without regard to its conflict-of-laws rules. Any dispute not subject to arbitration will be handled in the state or federal courts located in Orange County, California.

California disclosure. California residents may report complaints to the Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs in writing at 1625 North Market Blvd., Suite N 112, Sacramento, CA 95834, or by phone at (800) 952-5210.

Electronic communications. You consent to receive communications from us electronically, and you agree that electronic agreements, notices, and disclosures satisfy any requirement that they be in writing.

Other. These Terms are the entire agreement between you and us about the Services. If a provision is unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them freely. All trademarks on the Services are the property of their owners and may not be used without permission.
